Affiliate Terms

1. Who this is between

These terms are between SQRD Away Limited, a New Zealand company ("we", "us"), and you, the person or business accepting them ("you", "the Affiliate").

They begin when you accept them, not when we invite you or approve your application. Nothing you did before that moment earns commission.

2. What you are agreeing to do

Promote Squared Away using the link and code we issue you, honestly, to people who might genuinely want it.

That is the whole job. You are not our agent, employee, partner or representative. You cannot enter into anything on our behalf, and you must not suggest otherwise.

3. What we pay you

We pay a share of net receipts — what actually reaches us from a customer's payment after the app store's cut and any tax. Not the price on the pricing page, which is a different and larger number.

Details that matter:

  • The 18 months start at the customer's first payment, not at their signup or their free trial. A trial that never converts pays nothing.
  • Commission is denominated in USD, because our revenue is. If you are paid in another currency, the conversion is yours.
  • We pay monthly, once your balance clears USD 50. Below that it rolls over until it does.
  • An amount becomes payable 30 days after it accrues. That window exists so a refund can cancel a commission before we have paid it out.
  • If a customer is refunded, the commission on that payment is reversed. If we have already paid it, it comes out of your next balance rather than being invoiced back to you.
  • Your earnings depend partly on whether a customer chooses monthly or annual billing, which you cannot influence and neither can we. Annual plans are discounted, so they generate less commission than twelve monthly payments.

Before you become an Affiliate, each paying Business customer you bring earns you USD 25, up to three. That money is held for you and paid out once you accept these terms and give us your payout details — we cannot pay cash to someone who has not agreed to anything. Three of them is USD 75, which clears the payout threshold on your first statement.

We may change these rates by giving you 30 days' written notice. A change never applies to customers already referred — their 18 months run at the rate agreed when they arrived.

4. How we decide a customer is yours

  • A customer is attributed to you if they create a new account within 90 days of clicking your link, or within a longer period if we agree one with you in writing. It has to be a new account — a code applied to someone who already had one earns nothing, whoever they are.
  • If two Affiliates touch the same visitor, the most recent one before signup gets them. Once the account exists, attribution is fixed and a later click cannot change it.
  • If an attributed account has not made a first payment within 90 days, the referral lapses and earns nothing.
  • Clicks that cross devices — a phone at lunchtime, a laptop that evening — are frequently lost, and neither of us can do much about it. Your code can be entered by hand, which is the backstop.

5. What you must not do

5.1 Do not say we make anyone compliant

This is the clause we care about most.

Squared Away tracks when a service or compliance obligation falls due and warns before it does. It does not determine what the law requires of a business, and we have deliberately never claimed otherwise.

You must not say or imply that using Squared Away makes a business compliant with any law, standard or regulation — including electrical testing and tagging, health and safety obligations, or insurance requirements. Do not use phrases like "stay compliant", "meets your legal obligations", or "compliance guaranteed".

Approved wording that says the true thing well is published in the affiliate asset library. Use it.

Breaching this clause is grounds for immediate termination for cause, because the claim lands with our name on it, not yours.

5.2 Everything else

You must not:

  • Bid on our brand terms in paid search — "Squared Away", "sqrdaway", "squaredaway", or close variants. We are not paying commission to intercept people who were already looking for us. Exceptions can be negotiated in writing.
  • Run coupon, voucher or discount-code pages targeting our brand.
  • Send unsolicited email or SMS.
  • Represent yourself as Squared Away, or register domains, social accounts or app listings that suggest you are.
  • Earn commission on an account you or your business control, or on accounts created to generate commission rather than to use the product. This includes arrangements with a third party to the same effect.

6. Reviews, holds and ending this arrangement

Holds. If a referral pattern looks wrong, we may hold the affected unpaid amounts while we look at it. Held amounts stay on your statement — we will not make money disappear quietly. If the review finds nothing, we release them and pay them in the normal course. We will tell you when we hold something and why.

You can leave at any time, in writing. If you do, the 18-month windows already running keep paying out. Those customers were yours.

We can end it at any time on 30 days' written notice, with the same effect — running windows keep paying.

Termination for cause is different. If you breach section 5, or we conclude you have generated referrals fraudulently, we may end this immediately and unpaid accrued commission is forfeit. Nothing further accrues.

7. Your statement

You can see what you are owed at any time. The statement shows what has accrued, what is inside the 30-day window, what is held for review, and what has been paid.

If you think a statement is wrong, tell us within 60 days and we will look at it properly.

8. Tax

You are responsible for your own tax. We do not withhold anything unless the law requires us to.

If you are in New Zealand and GST-registered, you agree that we may issue buyer-created taxable supply information for the commission we pay you, and that you will not issue your own tax invoice for the same amounts.

If you are outside New Zealand, the commission is for services performed outside New Zealand and we do not expect to withhold New Zealand tax on it. Your own country's rules are yours to deal with.

9. Changes

We may update these terms with 30 days' written notice. If you keep promoting after they take effect, you have accepted them. If you do not want to, you can leave under section 6 and your running windows still pay out.

10. Law

New Zealand law governs this arrangement, and the New Zealand courts have jurisdiction.
